Terms of Service

Welcome to TP Enterprise. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TP Enterprise Limited ("TP Enterprise," "we," "our," or "us"), a company registered under the laws of the Federal Republic of Nigeria.

By accessing or using our website, mobile applications, or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

Eligibility

To use our services, you must be at least 18 years of age and possess the legal capacity to enter into binding contracts under Nigerian law. By using our services, you represent and warrant that you meet these eligibility requirements.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 14 days before they take effect. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

TP Enterprise operates three distinct service divisions, each offering premium lifestyle and property solutions to our clients across Nigeria and beyond:

TP Events

TP Events provides comprehensive event hosting and management services, including:

• Event Hosting: Curated venues and full-service event hosting for corporate functions, private celebrations, and special occasions
• Networking Events: Exclusive professional and social networking gatherings designed to connect like-minded individuals
• Concerts & Entertainment: Live entertainment events featuring local and international artists
• Community Celebrations: Cultural festivals, holiday celebrations, and community-focused events
• Event Planning Services: End-to-end event coordination, vendor management, and logistics support

TP Shortlets

TP Shortlets offers premium short-term accommodation solutions, including:

• Short-Term Rentals: Fully furnished apartments and homes available for daily, weekly, or monthly stays
• Vacation Stays: Luxury holiday accommodations in prime locations across Nigeria
• Corporate Housing: Extended-stay solutions for business travellers and relocating professionals
• Serviced Apartments: Hotel-style amenities with the comfort and space of a private residence

TP Homes

TP Homes provides comprehensive real estate and property services, including:

• Real Estate Sales: Brokerage services for buying and selling residential and commercial properties
• Property Development: New construction projects, renovations, and property improvement services
• Long-Term Rentals: Leasing services for residential and commercial properties
• Interior Design: Professional interior design and home staging services
• Property Management: Comprehensive management services for property owners and investors

As a user of TP Enterprise services, you agree to the following responsibilities and obligations:

Account and Information Accuracy

• Provide accurate, current, and complete information when creating an account or making bookings
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access
• Update your information promptly if any changes occur
• Accept responsibility for all activities conducted under your account

Lawful Use

• Use our services only for lawful purposes and in accordance with these Terms
• Comply with all applicable Nigerian laws and regulations, including but not limited to the Cybercrimes (Prohibition, Prevention, etc.) Act 2015
• Not engage in any activity that could harm, disable, or impair our services or interfere with other users' access
• Not attempt to gain unauthorised access to any portion of our services or systems

Property and Event Guidelines

• Treat all properties and event venues with respect and care
• Adhere to all house rules, occupancy limits, and property-specific guidelines
• Report any damages, maintenance issues, or safety concerns promptly
• Not use properties or event spaces for any illegal activities
• Vacate properties at the agreed checkout time unless alternative arrangements are made

Communication

• Respond to our communications in a timely manner, especially regarding bookings and transactions
• Provide valid contact information and ensure you can be reached during the duration of any booking or service engagement

The following terms govern all bookings and transactions made through TP Enterprise services. Please read these carefully before making any reservations or purchases.

TP Events - Ticket Purchases and Refunds

• Ticket Sales: Event tickets are sold on a first-come, first-served basis and are subject to availability
• Payment: Full payment is required at the time of purchase unless otherwise specified
• Refund Policy: Refund requests must be submitted at least 7 days before the event date. A processing fee of 10% of the ticket price will be deducted from all refunds
• Event Cancellation: If TP Enterprise cancels an event, ticket holders will receive a full refund within 14 business days
• Event Changes: We reserve the right to modify event details, including venue, date, or performers. Material changes will be communicated to ticket holders, who may request a refund if the changes are unacceptable
• Resale: Tickets may not be resold at prices exceeding the original purchase price without our written consent

TP Shortlets - Property Booking Terms

• Booking Deposits: A deposit of 30% of the total booking cost is required to secure a reservation. The remaining balance is due 48 hours before check-in
• Security Deposit: A refundable security deposit (caution fee) may be required, which will be returned within 7 days of checkout, subject to property inspection
• Cancellation by Guest:
  • More than 14 days before check-in: Full refund minus 5% processing fee
  • 7-14 days before check-in: 50% refund of the total booking cost
  • Less than 7 days before check-in: No refund
• Cancellation by TP Enterprise: If we cancel a booking, guests will receive a full refund and assistance in finding alternative accommodation where possible
• Check-in/Check-out: Standard check-in is 3:00 PM and check-out is 11:00 AM. Early check-in or late check-out may be arranged subject to availability and additional fees
• Damages:Guests are liable for any damages to the property beyond normal wear and tear. Costs will be deducted from the security deposit or charged to the guest's payment method

TP Homes - Real Estate Transaction Terms

• Agency Fees:Our standard agency commission is 5% of the property sale price or one month's rent for rental transactions, payable upon successful completion of the transaction
• Legal Fees: Buyers and tenants are responsible for their own legal and documentation fees unless otherwise agreed in writing
• Property Inspections: We strongly recommend professional property inspections before completing any purchase. TP Enterprise does not guarantee the condition of properties beyond information provided in listings
• Exclusivity Period: Clients engaging TP Homes for property search or sale services may be subject to an exclusivity period as specified in individual service agreements
• Title Verification: While we conduct preliminary due diligence, clients are advised to engage independent legal counsel to verify property titles and conduct searches at the relevant Land Registry

General Payment Terms

• Accepted Payment Methods: We accept bank transfers, debit/credit cards (Visa, Mastercard, Verve), and approved mobile payment platforms
• Currency: All prices are quoted in Nigerian Naira (NGN) unless otherwise stated. International transactions may be subject to exchange rate fluctuations
• Payment Processing: Payments are processed through secure, PCI-compliant payment gateways. We do not store your complete card details
• Failed Payments: If a payment fails, your booking or transaction will not be confirmed until successful payment is received
• Invoicing: Receipts and invoices will be issued electronically to the email address associated with your account

All intellectual property rights in our services, including but not limited to the content, design, logos, trademarks, and software, are owned by or licensed to TP Enterprise and are protected under Nigerian and international intellectual property laws.

Our Intellectual Property

• Trademarks:"TP Enterprise," "TP Events," "TP Shortlets," "TP Homes," and associated logos are registered trademarks of TP Enterprise Limited
• Content: All text, graphics, photographs, videos, and other content on our platforms are owned by TP Enterprise or used with permission
• Software: Our website, mobile applications, and proprietary systems are protected by copyright and other intellectual property laws

Permitted Use

You are granted a limited, non-exclusive, non-transferable licence to access and use our services for personal, non-commercial purposes. This licence does not include:

• Reproduction, distribution, or public display of our content without written permission
• Modification or creation of derivative works from our content
• Use of our trademarks or branding without authorisation
• Scraping, data mining, or automated extraction of content from our platforms
• Commercial use of our content or services without a separate commercial licence

User-Generated Content

By submitting content to our platforms (including reviews, photos, and comments), you:

• Grant TP Enterprise a worldwide, royalty-free, perpetual licence to use, reproduce, modify, and display such content
• Represent that you own or have the necessary rights to submit such content
• Agree not to submit content that infringes on third-party intellectual property rights

Copyright Infringement

If you believe that any content on our platforms infringes your copyright, please contact us at legal@tpenterprise.com with details of the alleged infringement.

To the maximum extent permitted by Nigerian law, including the provisions of the Nigerian Contract Act and common law principles, the following limitations apply:

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. TP Enterprise makes no warranties, express or implied, regarding:

• The accuracy, completeness, or reliability of property listings or event information
• The uninterrupted or error-free operation of our platforms
• The suitability of properties or events for your particular needs
• The conduct of other users, property owners, or event attendees

Limitation of Damages

To the fullest extent permitted by law, TP Enterprise shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage arising from your use of our services, except where caused by our gross negligence or wilful misconduct
• Actions or omissions of third parties, including property owners, event vendors, or other service providers

Maximum Liability

In any event, TP Enterprise's total liability to you for any claims arising from or related to our services shall not exceed the greater of:

• The amount you paid to TP Enterprise in the 12 months preceding the claim, or
• One Hundred Thousand Naira (NGN 100,000)

Indemnification

You agree to indemnify, defend, and hold harmless TP Enterprise, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your violation of any applicable law or third-party rights
• Your use or misuse of our services
• Any content you submit to our platforms

Force Majeure

TP Enterprise shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, civil unrest, government actions, pandemics, or infrastructure failures.

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Applicable Laws

The following Nigerian laws and regulations, among others, apply to these Terms and your use of our services:

• The Constitution of the Federal Republic of Nigeria 1999 (as amended)
• The Nigeria Data Protection Regulation (NDPR) 2019 and Nigeria Data Protection Act 2023
• The Cybercrimes (Prohibition, Prevention, etc.) Act 2015
• The Consumer Protection Council Act
• The Land Use Act 1978
• The Tenancy Laws of the applicable State
• The Lagos State Real Estate Regulatory Authority Law (for Lagos transactions)

Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of our services shall be brought exclusively in the courts located in Lagos State, Nigeria. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

Dispute Resolution

Before initiating any legal proceedings, we encourage you to contact us to attempt to resolve any dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal legal remedies.

For disputes involving amounts below Five Million Naira (NGN 5,000,000), the parties agree to first attempt mediation through the Lagos Multi-Door Courthouse or a mutually agreed mediation centre before proceeding to litigation.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and TP Enterprise regarding your use of our services and supersede all prior agreements and understandings.
